"As support for their argument, plaintiffs provided the district court with . . . the text of the relevant provisions of the Louisiana Civil Code and the UCC provisions of forty-nine states and the District of Columbia.  Plaintiffs additionally provided an overview of textual variations in the relevant UCC provisions as adopted by the fifty jurisdictions."
