provided that:
(b) For purposes of section 3(c)(1)(A) of the Act [15 U.S.C. 80a3(c)(1)(A)], beneficial ownership by a Covered Company owning 10 percent or more of the outstanding voting securities of a Section 3(c)(1) Company shall be deemed to be beneficial ownership by one person, provided that:
