Interstate commerce

(iii) Interstate commerce. For purposes of this paragraph, the term interstate commerce means trade or commerce in obligations or any transportation or communication relating thereto between any foreign country and the United States or its possessions. (A) An issuer will not be considered to engage significantly in interstate commerce with respect to the issuance of an obligation if the only activities with respect to which the issuer uses the means or instrumentalities of interstate commerce are activities of a preparatory or auxiliary character that do not involve communication between a prospective purchaser and an issuer, its agent, an underwriter, or member of the selling group if either is inside the United States or its possessions.
