Private fund

Private fund means an issuer that would be an investment company under section 3 of the Act but for the exclusions from that definition provided for in section 3(c)(1) or section 3(c)(7) of the Act (15 U.S.C. 80a3(c)(1) or 80a3(c)(7)).
