Cal. Code Regs. Tit. 10, § 260.105 - Exemption for Offers Prior to Sale

There is hereby exempted from the provisions of Sections25110, 25120 and 25130 of the Code as not being comprehended within the purposes of the Corporate Securities Law of 1968 and the qualification of which is not necessary or appropriate in the public interest or for the protection of investors any offer of securities provided that the securities are actually sold only in a transaction exempted under subdivision (i) of Section 25102 or subdivision (c) of Section 25104 of the Code, or in a transaction exempted under Section 260.105.14 of these rules, or provided that the securities are exempt securities at the time of issuance under Section 25100 of the Code.
