258 CMR 8.05 - Board Procedures
(1)
Board Meetings. The Board shall hold at least two
meetings per calendar year, one of which shall be an annual meeting for the
election of officers to be held on or before October 31st
of each calendar year. The Board may hold additional meetings at
the call of its chairman, at the call of its secretary, or upon the written
request of any two members of the Board. In all cases, due notice of the date,
time and place of such meetings shall be given to all members of the
Board.
(2)
Officers. At the annual meeting prescribed by 258 CMR
8.05(1), the Board shall elect from among its members a chairman, a
vice-chairman, and a secretary. Such officers shall serve for a period of one
year, but may be reelected for additional terms of one year. If an officer
cannot complete his or her term, the vacancy shall be filled at the next
meeting of the Board. The chairman shall preside at all meetings of the Board.
If the chairman is absent for any reason, the vice-chairman shall preside in
his or her absence.
