Fla. Admin. Code Ann. R. 69U-105.207 - Coordination with Federal Regulatory Agencies and Department of State

(1) Approval by
Federal Regulatory Agencies. Upon approval by OFR, a copy of the final order
shall be forwarded to the Federal Deposit Insurance Corporation for insurance
of accounts, to the Federal Reserve System for approval of membership in the
Federal Reserve System and/or for formation of a bank holding company, and the
Office of Thrift Supervision for the formation of an association holding
company. Within three months after approval by OFR, the applicant must have
provided sufficient information to all appropriate federal regulatory agencies
to have its federal application(s) considered complete for processing. The
failure of applicant to accomplish this filing with all the appropriate federal
regulatory agencies within three months after approval by OFR, a final order of
denial by any federal regulatory agency, or a revocation of the final order
issued by any federal regulatory agency will terminate and revoke the final
order issued by OFR approving the application.
(2) Articles of Incorporation. Within three
months after approval by OFR and all appropriate federal regulatory agencies,
the applicant shall execute and submit articles of incorporation, conformed to
the form articles prescribed by OFR, together with the filing fees due under
Section
607.0122,
F.S., to OFR.
(3) OFR will review
the Articles, approve them for filing with the Department of State, as provided
in Section
658.23(3),
F.S., and shall file such Articles with the Department of State.
