Haw. Code R. § 15-127-5 - Quorum; designated representative
(a) The power of
the corporation shall be vested in the members of the board in office from time
to time. A quorum shall consist of a majority of all the members the board is
entitled to by statute, and the affirmative vote of at least that number of
members shall be necessary to make any action of the board valid.
(b) A designated representative shall serve
as a voting member when representing an ex officio member.
