Haw. Code R. § 16-39-203 - Notice filing
(a) For issuers
offering or selling securities in compliance with the Securities Act,
Regulation D, 17 CFR section
230.505, a notice filing shall be made no
later than fifteen calendar days after the first sale is made in this State.
The notice filing shall consist of:
(1) One
signed copy of the Form D currently updated, and the appendix
thereto;
(2) An executed consent to
service of process (Form U-2); and
(3) The filing fee set forth in section
16-39103.
(b) Upon
written request of the commissioner, the issuer shall provide copies of
information furnished in tangible form, including by electronic transmission,
by the issuer to offerees.
(c)
Amendments. During the period of the offering, the issuer shall take steps
necessary to ensure that all material information contained in the notice
filing remains current and accurate.
