express
Express terms are the specific provisions in a contract that are clearly stated, whether orally or in writing. These terms set out the agreed rights and obligations of the parties without the need for inference or implication. Express terms differ from implied terms, which are not expressly stated but are understood to exist based on the nature of the transaction, established customs, or the conduct of the parties.
